Terms of Service

Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between Good Software Company (“we”, “us”, “our”) and you (“User”, “you”) concerning your access to and use of the website https://crmleaderboards.com and the CRM Leaderboards application (collectively, the “Service”).

CRM Leaderboards is a sales leaderboard tool that connects to your Pipedrive CRM to display goals and standings. By accessing or using the Service, you confirm that you are at least 18 years of age (or the legal age of majority in your jurisdiction), that you have authority to bind the organization on whose behalf you act, and that you agree to be bound by these Terms. If you do not agree, you must stop using the Service.

We may amend these Terms at any time. Material changes will be communicated via a notice on our website or by email. Continued use after changes take effect constitutes acceptance of the revised Terms.

Definitions

  • “Service”: the CRM Leaderboards website and application and all related features operated by us.
  • “User” / “You”: any individual or entity accessing or using the Service.
  • “Account”: the profile created when you sign in via Pipedrive to access the Service.
  • “Organization”: the workspace, tied to a Pipedrive company, under which boards, members, and billing are managed.
  • “CRM Data”: data read from your connected Pipedrive account to render leaderboards.

Accounts and Pipedrive Connection

Access requires signing in through Pipedrive OAuth. We do not offer password-based accounts. By connecting, you authorize us, solely to operate the Service, to read the CRM Data described in our Privacy Policy, to create, update, and delete goals in your Pipedrive account when you do so through the Service, and to register a webhook in your Pipedrive account so boards update in real time. You agree to:

  • Ensure you are entitled to connect the Pipedrive account and to display the CRM Data of the users you add to boards
  • Keep your Pipedrive credentials secure and confidential
  • Accept responsibility for activity under your Account and Organization
  • Notify us at support@crmleaderboards.com of any suspected unauthorized use or security breach

You may revoke our access at any time from Pipedrive’s connected-apps settings. We may suspend or terminate an Account we reasonably believe is used in violation of these Terms.

Subscriptions, Pricing, and Billing

The Service is offered on a paid subscription basis, billed per seat. Prices are displayed in US Dollars (USD) and are exclusive of any applicable taxes unless stated otherwise at checkout. Payments are processed by Stripe; we do not store full payment card numbers.

  • Free Trial: New subscriptions include a 14-day free trial. You will not be charged during the trial. Unless you cancel before it ends, the subscription automatically begins and your payment method is charged.
  • Automatic Renewal: Subscriptions renew automatically at the end of each billing period at the then-current price unless cancelled beforehand. You authorize us to charge your payment method for each renewal.
  • Seats: Your charge is based on the number of seats in your Organization. Changing seats may adjust your charge, prorated by Stripe.
  • Price Changes: We will give advance notice of price changes affecting your subscription before they take effect, giving you the opportunity to cancel.

Cancellation and Refunds

  • Cancellation: You may cancel at any time from the billing section of your settings (via the Stripe customer portal) or by contacting support@crmleaderboards.com. Cancellation takes effect at the end of the current billing period; you retain access until then.
  • Refunds: Subscriptions cancelled mid-period are not eligible for a prorated refund of the remaining period unless required by applicable law in your jurisdiction.
  • Chargebacks: Please contact us before initiating a chargeback. Filing a chargeback without contacting us first is a violation of these Terms and may result in suspension of your Account.

Consumer law: Nothing in this section limits any non-excludable rights you may have under applicable consumer protection law, including the Australian Consumer Law, the UK Consumer Rights Act 2015, or comparable US state and federal law.

Acceptable Use

You agree not to:

  • Violate any law or third-party right, including privacy and intellectual property rights
  • Connect a Pipedrive account you are not authorized to connect, or display CRM Data you have no right to display
  • Probe, scan, or test the vulnerability of the Service, or circumvent its security or authentication
  • Use bots, scrapers, or other automated means to access or extract data from the Service beyond documented limits
  • Interfere with or disrupt the Service or its supporting infrastructure
  • Resell or provide the Service to third parties without our consent

Violation may result in suspension or termination and, where warranted, legal action.

Intellectual Property

The Service, including its software, design, logos, and content that is not CRM Data or your own content, is owned by or licensed to us and protected by applicable law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You retain all rights to your CRM Data; you grant us only the rights needed to read it, create and manage goals at your request, and display standings to operate the Service. The CRM Leaderboards name and logo are trademarks of Good Software Company and may not be used without our written consent.

Third-Party Services

The Service depends on third parties including Pipedrive, Stripe, and the subprocessors listed in our Privacy Policy. Your use of Pipedrive is governed by Pipedrive’s own terms. We do not control and are not responsible for third-party services, and we are not liable for loss arising from their availability or practices.

Privacy

Your use of the Service is governed by our Privacy Policy, incorporated into these Terms by reference. For users in the EU/UK, we act as Data Controller for personal data collected through the Service and as processor of CRM Data on your instruction. If there is any inconsistency between these Terms and the Privacy Policy regarding personal data, the Privacy Policy prevails.

Termination

We may suspend, restrict, or terminate access for breach of these Terms, non-payment, legal or security reasons, or conduct that may harm us, other users, or third parties. You may terminate your Account at any time by cancelling your subscription and disconnecting the app in Pipedrive, or by contacting support@crmleaderboards.com to request account deletion. Provisions that by their nature survive termination (intellectual property, limitation of liability, indemnification, and dispute resolution) will survive.

Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted or error-free, or that CRM Data displayed will always be accurate, complete, or current, since it originates from Pipedrive and depends on Pipedrive’s availability. Nothing in these Terms excludes any warranty or guarantee that cannot be excluded under applicable law, including the Australian Consumer Law.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) USD 100.

Nothing in these Terms limits liability that cannot be excluded by law, including for death or personal injury caused by negligence, fraud, or non-excludable consumer guarantees.

Indemnification

You agree to indemnify and hold harmless Good Software Company and its affiliates and personnel from any claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service in violation of these Terms, your violation of any law or third-party right, or your lack of authority to connect a Pipedrive account or display CRM Data.

Dispute Resolution and Governing Law

Informal Resolution: Before starting any formal dispute, contact us at support@crmleaderboards.com with a description of the issue and the relief sought. We will try to resolve it within 30 days.

Governing Law: These Terms are governed by the laws of Australia, without regard to conflict-of-law principles. The parties submit to the exclusive jurisdiction of the courts located there.

API and Developer Terms

If we provide an API, your use is subject to these Terms and any API-specific documentation. You must stay within documented rate limits, keep API credentials secure, and not use the API to disrupt the Service. We may modify or discontinue API access at any time.

General Provisions

  • Entire Agreement: These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service.
  • Severability: If any provision is unenforceable, it is limited or removed to the minimum extent necessary and the rest remains in effect.
  • Waiver: Failure to enforce a provision is not a waiver of it.
  • Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or asset sale.
  • Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control, including failures of the internet or third-party infrastructure such as Pipedrive, Stripe, Vercel, or Supabase.
  • No Partnership: These Terms create no partnership, agency, or employment relationship.
